I just purchased a 1 owner 2002 745il with 117k miles.
It drives fine until you go wot up a hill, or wot in reverse..
At that point I get a transmission failsafe indication.
My friend works at bmw and scanned the code.
Does replacing the valve body seals, and mechatronic sleeve fix this issue?

Gear monitoring is indicating internal slippage in the trans. Valve body seals and a mechatronics seal will not likely fix anything. Time for a new trans or a rebuild.
And the warranty history doesn't mean the transmission was replaced. You're seeing the defect code. The problem could have been addressed by a software update, torque converter replacement, or even a fluid drain and refill. Did you click on the claim number and actually read the tech's story and see what parts were replaced?
Regardless that was 12 years ago, and over 100k miles ago, so that doesn't mean anything.

I also had transmission failsafe issues, especially when driving at freeway speeds then getting into city traffic. Shifting wasn’t smooth going into first at a stop either. I replaced the seals and solenoids in 2017 and haven’t had a problem since. The shifting is way better, but not perfect. I’m sure there was excessive wear due to the lack of service. I’m at 125k and hope to get to 200k before I need to rebuild/replace the trans. Just my 2 cents.
Hello, had same issue. A $25 dollar part $500 in labor that was in 2014. Transmission been running great.

I had a similar problem I was getting code 4F89 , P17E8 , CF23 and some other code I took my car to a BMW Transmission Shop they wanted $4000 to change out the Mechatronic. I just did took the Mechatronic out myself and changed out all the Valve Body, Reset Adaptation drove for a 100 Miles and the car runs great.
