Hiya, just got my 540i 6 speed yesterday. The battery was dead on the car when I went to retrieve her, got her started and now it says "CODE". Do I now need to locate a code to get the stereo to start working again?? Can I call a dealer, or do I need to look through the owners manual to find the code??

There should be a sheet with the unlock code with the owner's manuals for the car. If that can't be located a dealer can get the code for you.

Usually it is located on a card with the documentation for the weather band in the owners manual area.

Apparently, the e39 5 series does not have a radio code. I have confirmed this with my nearest bmw dealership. My radio does not work right now either. The only other code that i know of on the e39 is a theft prevention thing that allows you to enter in a code when you get out of the car. Then, the next time you turn the key on, the car will ask you for the same code that you entered the last time you left. If you dont enter in the code, then it will not allow you to start the car. I have tried this with my 98 540i and does just as its supposed to. I am just wondering why you can start your car and it still asks for a code.

The BMW buisness radios have a code that prevents theft of the head units (why I don't know?) Anytime the battery is dis-connected, or in this case drained, the code from the factory must be re-entered or the radio doesn't work.
The code the above post is refering to sounds like the start interupt code built into a OBC.
This will not be the last time your dealer gives you bum info, they all like to play dumb, some better than others. If you don't have the code card, they are the ones to help you.

Get out your leather booklet where the manuals are kept. Flip all the way to the end and you will see 2 cards that look like credit cards. In my car, the code number is right on the card

OK, might have another problem. I entered the codes I found in the back of the anti-theft stereo manual, and the radio seems to reject the code. It just beeps once and the word "CODE" remains. Will be calling BMW shortly!
