    Upgrading from 16's to 17's on a 540i

I have a 97 540iA with the stock 16" wheels. Are there any concerns with clearance? Do I have to worry about overstressing the non sport suspension? Will any 5-series 17" wheel work? Are there any issues with offset?

    why only 17?
you'll think they are too small in a year... I went from 16s on my wifes to 18s

If I were you, I'd go to 18s, worth the extra price and nut much more weight. (maybe a pound). Again, if this is for looks

If it's for speed, etc., go with 17s that are extremely light and strong: read $$$$

I have to agree with Umnitza - a 16" to 17" isn't much of a change... especially on a 5er. An 18" would be dandy on a 5er. As stated earlier, no concern with clearance.
